These Terms of Service ("Terms") govern your access to and use of the websites, web applications, and mobile applications operated by Flex Solutions Inc. ("Flex Solutions," "we," "us," or "our"), including all related services, features, and content (collectively, the "Services"). By creating an account, accessing, or using the Services, you agree to be bound by these Terms, as well as our Privacy Policy (incorporated herein by reference). If you do not agree to these Terms, do not access or use the Services.
"Account Holder" means a business, manager, or organization that registers for or manages an account on the Services. "Application User" means an employee, contractor, or individual who accesses or uses the Services under an Account Holder's account. "Content" means any data, text, files, or materials uploaded or transmitted by you or on your behalf through the Services. "FlexSchedule" refers to our proprietary scheduling and workforce management platform provided by Flex Solutions. "You" or "User" refers to any individual or entity accessing or using the Services.
Subject to these Terms, Flex Solutions grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for lawful business purposes. You must be at least 16 years old (or the age of consent in your jurisdiction), provide accurate registration information, and use the Services in compliance with all applicable laws. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
You retain ownership of the content you upload to the Services. Flex Solutions and its licensors retain all rights, title, and interest in the Services, including software, interfaces, and trademarks. No rights are granted to you except those expressly stated in these Terms. If you provide suggestions or feedback, you grant Flex Solutions a royalty-free, worldwide, perpetual license to use and incorporate them without compensation.
You agree not to use the Services for unlawful purposes or to transmit harmful code or infringe on the rights of others. You may not access or modify non-public areas of the Services, circumvent security controls, or use automated tools to extract data. You may not decompile, disassemble, reverse engineer, or attempt to derive the source code or algorithms of any portion of the Services, except where expressly permitted by law. Flex Solutions reserves the right to suspend or terminate your account for violations.
Certain Services require payment of fees as listed on our website or within your account dashboard. Unless otherwise stated, all fees are billed in advance and are non-refundable. Free trials may be offered for a limited time. You authorize Flex Solutions or its payment processors to charge your payment method for all applicable fees and taxes.
You may cancel your subscription or account at any time through your account settings. Cancellation takes effect at the end of your billing cycle. We may suspend or terminate your access if you violate these Terms or applicable law. Upon termination, your right to access the Services ceases immediately, and your data may be deleted in accordance with our Privacy Policy.
Flex Solutions processes personal data in accordance with our Privacy Policy and applicable data protection laws. Account Holders act as data controllers for employment-related data, while Flex Solutions acts as a data processor under their instructions.
Flex Solutions strives to maintain reliable and uninterrupted Services but does not guarantee availability at all times. We may modify, suspend, or discontinue any part of the Services at our discretion, with or without notice.
Certain features, including AI-assisted scheduling and beta tools, may be offered on a trial basis and provided 'as-is'. You acknowledge that AI features may process unstructured input (e.g., text, voice, or images) to generate recommendations. You are responsible for verifying the accuracy of outputs.
The Services are provided 'as is' and 'as available'. Flex Solutions disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted or error-free operation.
To the maximum extent permitted by law, Flex Solutions will not be liable for indirect, incidental, consequential, or punitive damages, including loss of profits or data. Our total liability shall not exceed the amount you paid in the twelve (12) months preceding the claim.
You agree to indemnify and hold harmless Flex Solutions, its officers, employees, and affiliates from any claims, damages, or expenses arising from your violation of these Terms, your content, or your misuse of the Services.
Each party shall maintain the confidentiality of non-public information disclosed by the other and use it only as permitted under these Terms.
These Terms are governed by the laws of the State of Wisconsin, United States. Any disputes shall be resolved exclusively in the state or federal courts located in Wisconsin, and you consent to their jurisdiction.
Flex Solutions shall not be liable for delays or failures in performance caused by events beyond its reasonable control, including natural disasters, labor disputes, internet outages, or governmental actions.
Failure to enforce any provision of these Terms shall not constitute a waiver. If any provision is found unenforceable, the remaining terms shall remain in full effect.
You may not assign your rights under these Terms without written consent. Flex Solutions may assign these Terms in connection with a merger, acquisition, or sale of assets.
These Terms and our Privacy Policy constitute the entire agreement between you and Flex Solutions, superseding any prior agreements.
